Many companies use equity incentives as an initiative to promote their own development,which can reduce the negative impact of entrusted agency,can also reduce the wrong behavior in business management,increasing the rationality and applicability of the decision.In developed countries,the history of the use of incentive plans by companies has been around for a long time.The domestic market system has gradually matured,and companies that have chosen to implement equity incentives have gradually increased,and on this basis,they have chosen to meet their actual incentive policies.In particular,technology-based companies use equity incentives as an important means to mobilize the enthusiasm and creativity of all employees and maintain their core competitiveness,because it is a set of effective incentive and restraint mechanisms.Studying equity incentives and comparing the implementation of domestic and foreign companies will be beneficial to the reform and development of Chinese enterprises.Equity incentives refer to the long-term incentives for listed companies to use their own stocks as the subject and meet the requirements of business managers and other employees.The essence of such incentives is that the company's equity or options obtained by the above-mentioned personnel can benefit them in the future.It can take both short-term and future benefits into account,emphasize the long-term,sustainable management of the company,promote the reform of the company,and maximize the value of the company.Corporate performance refers to the business results achieved by target entities over a period of time and can be divided into financial results and management results.Comprehensive and reasonable evaluation of company performance is an indispensable part of the company's long-term planning.It can provide the most direct and valuable reference for the company's next deployment.With the continuous introduction of incentive policies,companies that choose to implement equity incentives have gradually increased.The paper takes the well-known company Talkweb Information System Co.,Ltd.in the software industry as the research object.Selecting Talkweb information as a case company will make the research more representative.The writing of this article is based on the country's increasing emphasis on the industry's core competitive advantages and the increasing importance of technology-based companies.It selects representative companies in the industry as the research object,selects equity-based incentives as a practical corporate governance model,and uses literature.The methods of research and case studies,with reference to relevant literature,books,and reports,analyze the motivations and performance of the company's equity incentives,and also provide lessons for other software companies or the entire software industry.This article was written with reference to a number of documents,books,and reports.It introduced the relevant knowledge of equity incentives and analyzed the equity incentive plans of specific case companies.First of all,reviewing the relevant domestic and foreign literatures of listed company's equity incentives,sorts out and sums up the motivations,modes,design factors of the stock incentives and the influence on the company's performance,and straightens out the writing framework of this article.Secondly,it introduces the definition of equity incentives and the evaluation methods of their performance and the definition of corporate performance and their influencing factors,and leads to the core theory of equity incentives,which provides a theoretical basis for the case analysis of this article.Thirdly,we will give a brief description of the case of Talkweb Information Equity Incentives,starting with the development history of Talkweb Information and the background and motivation of the implementation of equity incentives,we will focus on the content and implementation of the company's nearly three-year incentive plan.Fourthly,the core part of the thesis is mainly to conduct a detailed analysis of the equity incentive case of Talkweb Information.In the past three years,the incentive model is restrictive.The incentive targets are mainly middle-level and senior management personnel.The award price is more appropriate than before and is selected.Financial indicators and non-financial indicators analyze the short-term market performance and financial performance after the implementation of the incentive plan.Finally,the conclusions
