Equity incentive as a kind of long-term incentive mechanism,is one of the most common method to motivate employees,mainly through conditional giving executives and staff of the company's or linked to the stock share interests,the interests of the established between employee and enterprise community,grow together,to help enterprises achieve long-term stable development.It is also considered by the industry as the most effective way to solve the problem of principal-agent problem.It can avoid the short-sightedness of the management,so that the management can focus on the long-term development goals of the enterprise.In the mature European and American countries,the implementation of equity incentive has achieved remarkable results.On April 29,2005,the China securities regulatory commission issued the notice concerning the reform of the reform of the shareholding reform of listed companies,which also officially opened a new period for the development of equity incentive in China.Subsequently,with the adjustment of the accounting standard system,the improvement of national tax policy,in addition to the equity incentive method,formed the equity incentive system in China.Nowadays,more and more enterprises begin to implement equity incentive,especially since 2010,the stock ownership incentive in our country a rapid increase in the number of cases,let enterprises tend to adopt equity incentive to improve employees' enthusiasm,promote the development of enterprise good stability.Equity incentive in China is at a critical stage of development,and the implementation of equity incentive will inevitably become a development trend of listed companies.It is also in this context that this paper studies the equity incentive system of uyou software company,and hopes to have a little reference for the development and improvement of equity incentive in China.Based on the principal-agent theory,corporate governance theory,two-factor theory and human capital theory as the foundation,use in combination with the theory analysis and case analysis,by reviewing related literature,with a high and new technology enterprise as a case analysis of the implementation of equityincentive motivation and performance.Through the friend of the company's financial indicators and the non-financial indicators and the analysis of the short-term market reaction,can draw ufida company after the implementation of equity incentive of the indicators appear upward trend,innovation ability and market share has also been gradually improve,explain to corporate equity incentive effect is good,present the positive correlation between the equity incentive and corporate performance.This paper is divided into five chapters.The first chapter is the introduction,which mainly introduces the research background and significance,and introduces the research framework,contents,methods and innovation points.The second chapter mainly summarizes the theoretical basis and literature review.The third chapter is the introduction of the case and the motivation analysis of the equity incentive,and introduces the implementation process and the motivation of the equity incentive.The fourth chapter is to analyze the incentive effect of the company based on financial indicators,non-financial indicators and short-term market reaction.The last chapter is the research conclusion and prospect.
