Since the reform and opening up,with the establishment of China's market economy system,the advanced management concept of foreign,enterprises has been introduced continuously."Agency system" is one of its important ideas.The so-called"agency system" means the separation of capital ownership and operation right,the owner owns the assets but does not manage its own operation,but entrusts others.This kind of principal-agent relationship has played a very good role in a certain period of time.But with the development of market economy and the deepening of industrialization society,asset owners and managers are aiming at maximizing their own interests,and the disadvantages of agency system are beginning to appear.How to make professional managers and corporate shareholders pay attention to the effect of long-term value development and solve the management crisis of "agency system"?The equity incentive theory based on "sharing system" has become the focus of scholars at home and abroad.Equity incentive is a way of encouraging shareholders to participate in business decisions,share profits and take risks as a shareholder in the form of stockholders' equity,so that managers can diligently and conscientiously serve the company's long-term development.At present,equity incentive in China is mostly used in the listed companies,non listed companies in the application of less,there are some non listed private enterprises to go in front of the reform of equity incentives,such as"HUAWEI",but many enterprises are in the "learning HUAWEI mode" at the time of the unsatisfactory,one of how to become their design the characteristics of private enterprise,the reasonable equity incentive scheme is relatively hot topic nowadays.In this paper,the-D enterprises of private listed companies are selected as the research object.Based on the relevant theories at all times and in all countries,and on the basis of the actual situation of D enterprises,the equity incentive reform of D enterprises is carried out.This paper is divided into five parts,the first part is the theoretical study,through the review of research on related theories of equity incentive for the reform of D enterprise provide a theoretical basis for the design;the second part is the feasibility analysis of D enterprise present situation and the implementation of equity incentive,this article carries on the analysis through the SWOT analysis of the development status of D enterprise and the feasibility of the implementation of equity incentive;third part is the design and implementation of D enterprise equity incentive scheme;the fourth part is the analysis of the implementation effect evaluation of D enterprise,this paper uses the Balanced Scorecard analysis method,to assess the effectiveness of the implementation of the first phase of D enterprise equity incentive scheme;finally,based on the summary of D enterprise equity incentive reform experience on this private enterprise "reform".
