Study On The Risk And Risk Prevention Of Mergers And Acquisitions Of Internet Companies

With the development of science and technology and the progress of the society,the information technology such as the Internet has been further developed,and gradually deepened into the life of the public.The Internet era is emerging.Under this social background,Internet companies relying on Internet technology have also been developed by leaps and bounds.In order to gain competitive advantage and expand the market scale,quite a few Internet companies began to seek mergers and acquisitions.However,due to the differences in terms of market conditions,human resources and organizational structure between the two parties,combined with the characteristics of mergers and acquisitions of Internet enterprises,there are many risks in the process of mergers and acquisitions of Internet enterprises,resulting in low success rate of mergers and acquisitions and the heavy loss of enterprises.Therefore,how to identify risks in the process of mergers and acquisitions and formulate appropriate precautionary measures has become a top priority for the development of Internet enterprises.This paper first describes the related concepts involved in the thesis,reviews the previous research results,introduces the current situation of the mergers and acquisitions of Internet enterprises in China,and puts forward the topic of emphasis in this article: mergers and acquisitions risk and risk prevention of Internet companies.Then,in view of the characteristics of mergers and acquisitions transactions of Internet companies,this paper summarizes the risk points existing in the mergers and acquisitions of Internet companies.Thirdly,based on the case of Alibaba's acquisition of DaMai company,this article makes an in-depth analysis of the risks existing therein and puts forward corresponding measures to prevent the risks involved in the merger case.On this basis,this paper summarizes the risk prevention measures applied to Internet companies' mergers and acquisitions,to provide China Internet companies with some references for the risk prevention of mergers and acquisitions.
