The outbreak of two financial crises has caused the role of financial institutions to become “polished”.As an important part of financial institutions,commercial banks have been widely concerned about corporate governance issues.In recent years,it has been found that the actual situation and theory of corporate governance of listed commercial banks are quite different,which has a certain impact on the performance of banks.In addition,the business of commercial banks is affected by new payment instruments and various online lending platforms.Bank performance has shown signs of decline,and improving the performance of commercial banks is imminent.This paper starts with corporate governance and studies the impact of corporate governance on the performance of commercial banks.Through the review of the performance evaluation of commercial bank companies and the impact of commercial bank corporate governance on performance,it is found that in the construction of comprehensive performance evaluation system,scholars use fewer indicators,and the literature on corporate governance as a whole is also studied.A small number,so this paper selects a multi-faceted evaluation index to build a comprehensive performance evaluation system,and selects the overall perspective of corporate governance to conduct research.This paper selects 16 indicators in five aspects: profitability,operational capability,debt capacity,development capability,and bank specialization to construct a comprehensive performance evaluation system,and uses principal component factor analysis method to perform performance on 24 listed commercial banks in 2009-2016.Evaluation as an explanatory variable for this article.The seven indicators of the shareholders,the board of supervisors,the board of directors and the senior executives were selected as the explanatory variables of this paper for empirical research.It was found that the higher the shareholding ratio of the largest shareholder,the more the number of shareholders held,the number of board members of independent directors.The greater the proportion,the more likely the listed commercial banks to have better performance,while other corporate governance indicators have not been found to be significantly related to bank performance.In practice,it is necessary to improve the governance objectives of commercial banks,optimize the governance structure of the Board of Supervisors,strengthen the degree of information disclosure,and accelerate the improvement of corporate governance of commercial banks,thereby improving the performance of commercial banks.
