With the continuous enhancement and development of the competitiveness of small and medium-sized technology enterprises,they are directly affected by the level of corporate management while the managment level of an enterprise is also closely related to the internal corporate governance structure.The internal governance of corporate is not only related to the interests of investors,shareholders and the groups in this regard,but also directly affects the development speed and quality of these small and medium-sized technology enterprises in China,therefore,some small and medium-sized technology enterprises begin to integrate the corporate governance into enterprise system reform with some achievements being made,to some extent.But most of the enterprises have blind area in terms of why the modern enterprise system shall be set up and how to set up such a system.Finally,the non-standardized corporate governance phenomenon has appeared for many times,which hinders the overall development of the corporate seriously.Nowadays,there are increasing researches on corporate governance in domestic academic circles,but most of them focus on theoretical research rather than specific cases.Based on the analysis and reference of a great deal of document literature,this study defines the related concepts of corporate governance and introduces the theoretical basis.By using interviewing method to collect data and taking XMKJ company as the specific object of research,this paper deeply analyzes the related concepts of corporate governance of small and medium-sized science-and-technology enterprises and finds that there are many problems in XMKJ company's corporate governance through analyzing XMKJ company's evolution process of the corporate governance mechanism,which include absence of decision-making mechanism,imbalance of constraint mechanism,failure of incentive mechanism to achieve the desired incentive effect,nonstandard selection mechanism and so on.From specific conclusions and key influence factors obtained from XMKJ company's employee interviews,this paper puts forward the countermeasure and suggestions on the governance mechanism of small and medium-sized enterprise in China from the perspective of property right structure,decision-making mechanism,constraint mechanism,incentive mechanism and so on,which include adjustment of a company's property right structure,reasonable internal management driven by external management,establishment of board of directors based on business,definition of authorities of board of directors,perfection of supervision and constraint mechanism,optimization of incentive mechanism for managers,establishment of internal fairness,external incentive mechanism with competitiveness,adoption of scientific decision-making mechanism,avoidance of power centralization and establishment of scientific recruitment rules in terms of hiring agents.After studying the conclusions,this paper finds that there is a dynamic relation between the corporate governance mechanism and the incentive mode for managers.The development bottleneck of small and medium-sized enterprises lies in whether there is a scientific corporate governance mechanism.As the company develops and expands continuously,in order to market competitiveness,it needs a perfect corporate governance mechanism to match.
