The enterprise is the main role of the social function of economic actor,and core employees of enterprises is mainly responsible for the implementation of the role function,the development status of China's enterprises in the lack of long-term incentive,talent,and even deformity incentives,rational allocation and development of the core competitiveness of enterprises in the building and the Ministry of human resources has brought serious impact.Practice has proved that if we want to achieve long-term development of enterprises,it is of great practical significance to formulate a scientific,reasonable and feasible long-term incentive mechanism for core talents.Compared with general enterprises,the effective incentive of core employees is more complex and difficult than traditional enterprises.In essence,establishing a long-term incentive mechanism is to attract and retain all kinds of talents.The stability of core talents is more conducive to improving the decision-making level of enterprises and improving the sustainable development of enterprises.After all,the establishment of long-term incentive mechanism is to long-term interests and the interests of employees,the core talents incentive mechanism design must be combined with the characteristics of their work,and combine their core functions to develop,to achieve win-win and Kaven benefit community,while equity incentive has a very positive effect on a for this purpose.The research is based on the principal-agent theory,incentive theory,human capital theory and team production theory,in the analysis of domestic and foreign about the equity incentive of the theory and practice,combined with the general characteristics of the high-tech enterprise and its core employees,analyzes the general pattern for equity incentive core staff in high tech enterprises.Then,through the analysis of current situation of the incentive of HG Co.Ltd.,according to the specific problems,try to establish a core employees and the interests of the organization long-term depth bound,through the distribution mechanism of science,encouraging them to accelerate the creation of value,to achieve the interests of common body desire to achieve win-win benefits.According to the actual situation of HG Co.,Ltd.,this paper designs a specific optimization plan of HG company's core employee equity incentive--the virtual stock option equity incentive plan.Finally,this paper also evaluates the stock option incentive plan of HG limited company,analyzes its advantages and disadvantages,analyzes some difficulties existing in the implementation of the scheme,and puts forward some targeted safeguards.
