Research On Internet Company Mergers And Acquisitions Risk Control

Since the "Internet Plus" plan was put forward,the Internet industry has gradually become a blue ocean of investment.The traditional industries are striving to find an upgrade and transformation,and they are rushing to enter the M&A market.They are also convinced that the implementation of the "Internet Ten" strategy is the most effective and straightforward.The way is to merge and acquire Internet companies,and in the course of mergers and acquisitions,there are quite a few acquisitions of all shares.However,through a large number of failure cases,Internet companies' mergers and acquisitions are long-term investment behaviors and will inevitably face a large number of failed risk factors.There are many activities involved in the process,and mergers and acquisitions risk is harmful and has a wide range of consequences.If you attach importance to related risks,it will not only help the smooth progress of mergers and acquisitions of Internet companies,but also help the future development of the company:A set of M&A risk assessment system for the characteristics of the Internet is imperative.This paper takes the AHP-fuzzy comprehensive evaluation method as the starting point to explore how to fully construct the risk assessment system for M&A of Internet companies.This article uses a combination of normative research and case studies.First,the background,significance,methods,and major innovations of the topic are introduced.Second,the concept of M&A risk,the M&A risk assessment method for Internet companies,and M&A basic theories are introduced.Domestic and foreign related literatures are combed and commented on,to provide a theoretical basis for the following case studies.Third,based on the current status of China's Internet mergers and acquisitions,points out the problems and the causes behind the risk control of China's Internet enterprise mergers and acquisitions;Fourth,put forward a construction Based on the AHP-fuzzy comprehensive evaluation method,the M&A risk index system of Internet companies was used.Finally,the M&A risk index system established was applied to the case of Suning Cloud Commodities M&A Daily Express to obtain the assessment results and conduct comparative analysis.The main contributions of the results of this study are the following two aspects:1.Analyzed the problems existing in the current Internet company mergers and acquisitions risk control.The risk of mergers and acquisitions of Internet companies in China is mainly concentrated on four aspects:strategy formulation,value assessment,competition status,and integration.Specifically,it is difficult to match strategic development with industrial development,target enterprise value evaluation is difficult,mergers and acquisitions are fierce,valuation of premiums is high,and diversification of mergers and acquisitions is difficult.2.An internet company M&A risk evaluation index system was constructed.The system adopts the form of an Internet company M&A risk index rating scale,and assigns the scores determined by each index according to the risk index weights.Identify the risks in the stage of pre-merger strategic decision-making,the risks in the negotiation and payment phase of M&A transactions,and the risks in the post-merger integration management phase.3.The Suning Cloud Businesses evaluated the risks of the acquisition and delivery every day.On the basis of the established Internet company's M&A M&A risk evaluation index system,the case of Suning Cloud Commodity Acquisition and Daily Express was evaluated using the AHP-fuzzy comprehensive evaluation method.
