Modem enterprises have the characteristics of the separation of the two rights of ownership and management rights.The contradictions and conflicts under the agency contract are the problems that enterprises need to solve urgently.The equity incentive mechanism plays an important role in aligning the interests of managers with the interests of shareholders,and at the same time helps to stabilize the original backbone and attract foreign talents.Firstly,this paper combines the principal theory of principal-agent theory and incentive theory to analyze the necessity and current situation of China's equity incentives for listed companies in the information technology service industry.Secondly,taking Hand as an example,on the basis of the basic information about Hand,the implementation of the seven-phase equity incentive plan of the case enterprise is discussed in detail,and the rolling equity incentive model is implemented,the incentive program is launched at a high frequency,the middle-level technicians are the main ones.Therefore,the incentive contract reflects the typical industry representativeness and is of great research value.Starting from the implementation motivation of equity incentives,this paper analyzes the implementation of the multi-period equity incentive plan,and studies the implementation effect of the case enterprises.It is found that Hand equity incentive plan enhances the company's financial performance,enhances R&D innovation ability,and improves management efficiency.All aspects have played a positive role in positive reinforcement.According to the case study,the success of Hand Equity Incentive Program is that the incentive program design focuses on the long-term development of the company,which lays a solid foundation for the horizontal expansion and vertical development of the enterprise;for the incentive objects such as core technical personnel and middle management personnel.The scope of incentives has gradually expanded,using multi-period coexistence and continuous incentives,and the intensity of equity incentives has continued to increase.Gradually expanding,using multi-period coexistence and continuous incentives,the intensity of equity incentives continues to increase.In this case,the unlocking conditions in the design of equity incentive scheme are limited to financial indicators,the short assessment period is easy to lead to short-sighted behavior,the performance assessment conditions are relatively loose,and the single equity incentive model is adopted.The corresponding optimization suggestions are put forward.This paper analyzes the implementation of equity incentives in the technology-intensive industry——information technology service industry,and enriches the equity incentive research with core technical personnel and middle-level managers as incentive targets.
