Research On The Risk Assessment Of Fosun Pharma M&A. Gland Pharma Under The Framework Of "The Belt And Road"

In recent years,with the release of the "Belt and Road" framework,the number and scale of mergers and acquisitions by Chinese enterprises in countries along the "Belt and Road" have gradually increased.In many industries with foreign investment,the medical industry is the second largest M & A hot spot after manufacturing.As a result,this paper selects Fosun Pharmaceutical M & A Gland Pharma risk assessment research,which can not only point to Fosun Pharmaceutical M & A Guide function,can also provide reference for risk prevention of cross-border M & A of Chinese enterprises.The research object selected in this paper is the risk of Fosun Pharma M & A Gland Pharma.Firstly,it expounds the M & A history and motivation of the case,and identifies the main risk points in each M & A stage.Then,it constructs Fosun Pharma M & A Gland risk evaluation index system according to the basic principle of index selection.Among the eight secondary M & A risk indicators identified,the higher risk the higher risk level are: strategic decision risk,policy and legal risk,political risk,transaction risk and business integration risk.Finally,according to the evaluation results,aiming at the risk points with higher scores in each stage,the author puts forward some suggestions for prevention: rational formulation of M & A strategy,familiarity with the relevant policies and laws of the host country,recognition of the host country's political situation,flexible choice of financing methods and payment methods,and post-M & A integration.
