ZG Company Governance Structure Optimization Research

Corporate governance is the rule of dealing with the relationship between stakeholders,which is based on the basic objectives of the company.Actively optimize the corporate governance structure,promote healthy operation,can improve the competitiveness of the company,enhance the value of the capital,to better protect the interests of the company and the shareholders as a whole.Therefore,the optimization of governance structure,improve the level of governance,has increasingly become an important means of sustainable development of modern enterprises and means.ZG company is a large state-owned high-tech company,is one of the pioneers of domestic software enterprises,and strive for the development of national software industry,is now actively promoting the implementation of international strategy,the company to expand the scale and leapfrog development.With the rapid development of enterprises,more and more enterprise development problems exposed,which is the most fundamental problem of corporate governance,such as board of directors,the board of supervisors to perform their duties independently and lack of supervision system is weak,the incentive mechanism of management is not perfect.This paper takes the ZG company as the research object,the author read a lot of books on the corporate governance structure,carry out investigation and analysis,carefully combing the governance structure of a company related theoretical knowledge and scholars research achievements and ideas,improve the analysis to ZG corporate governance structure,combined with the actual situation,put forward the optimization scheme of governance structure and optimization ideas: the company's ownership structure,strengthening the independence of the board of directors of the company to perform their duties,play the supervision responsibilities,improve the management incentive measures.This paper proposes ZG corporate governance structure needs to be perfected,puts forward the optimization scheme,to further standardize corporate governance,enhance the competitiveness of enterprises,and promote the healthy development of enterprises,to provide measures to optimize the governance structure of the reference for other related listed companies.
