The Rational Construction Of Governance Structure Of The Listed Companies In China

Nowadays, companies have already become the "cells" of national economy. The development of the cells is closely related to that of the national economy. The listed companies are representative cells with typical characteristics, and the governance of them greatly influences the nerve of national economy. A modern company is the epitome of a modern country. Therefore, whether from the perspective of economy, politics or society, we should give a good governance of the companies, especially the listed companies. The system construction is vital, and good systems can turn the bad things into the good ones, and turn bad systems into good ones.The listed companies in our country appeared late, with inadequate regulations, which led to the constantly appeared problems in the developmental process, thus restricted its favorable development. In order to reverse the unfavorable situation, we should draw lessons from the successful experience of other countries, and carry out the rational construction of the listed companies in our country, and to realize the favorable governance of the companies.This thesis tries to elaborate on its essential content in the following aspects:(1) Elaborate the theoretical foundation of the company governance. Based on the elaboration and analysis of various theories, the author expounds the origin, concept and developmental period of this proposition. Through this elaboration, we can have a general recognition and understanding of the governance of the companies.(2) Compare several typical governance patterns of the companies. Through the introduction of several representative governance patterns of the companies, such as British-American pattern, German pattern, Japanese pattern, we can recognize the characteristics of different patterns, and a comprehensive analysis is given, which helps our country to draw lessons from those patterns.(3)Under the guidance of the theoretical foundation in the first part, an empirical analysis of the current situation about the governance of the listed companies in our country is given, and the main problems in it are found. Based on some related theories, the author then analyzes the reasons for those problems, which helps set goals and directions for the governance structure in the companies. That is shooting the arrow at the target—have a definite goal.(4)Improvement of the governance structure of the listed companies in our country. The principles and a few vital problems which should be paid attention to are also explained in this thesis. Those problems are the prerequisite of the construction of the governance of the listed companies in our country. The successful solution of those problems is closely related to the effect of the governance structure of the listed companies.In the conclusion part, based on the analysis of the above-mentioned context and aimed at the existing problems in the corporate governance in our country, the author gives some suggestions about how to improve the governance structure of the listed companies in our country, and hopes to solve the persistent ailment in it. This part is considered as the key point of this thesis paper.
