Improving the corporate governance is not only the basis for safe and effective operation of commercial Banks,but also fundamental to the reform and development of commercial banks.Due to the late start of corporate governance in China's commercial banks,despite years of efforts to make progress,the problem of “the likeness but absolute beings are not” is still outstanding.The recent landmark financial risk events have reflected the shortcomings of corporate banks in corporate governance in China.As the domestic economic development has entered a new normal state and the external environment is extremely complicated,China's commercial banks will inevitably encounter some new challenges in corporate governance.Compared with other types of domestic banks,rural commercial banks will have more debts in corporate governance.At present,the listing speed of small and medium-sized banks is obviously accelerated,and with the success of many rural commercial banks in the a-share market,the regulatory attention on the corporate governance of rural commercial banks has reached an unprecedented height.In 2001,Jiangsu Province took the lead in reforming the shareholding system of rural credit cooperatives.The rural commercial bank of J City was one of the first three joint-stock rural commercial banks in China.This paper takes the rural commercial bank of J city as the research object and has certain representativeness.Since the reform,the rural commercial bank in J City have seriously explored and constantly improved corporate governance,made positive contributions in serving the rural revitalization and promoting local economic development,and have played a good role in the main role of rural finance.At present,the rural commercial bank in J City have established a “three-one-level” corporate governance structure with the shareholders' meeting,the board of directors,the board of supervisors,and the management team as the main contents,and gradually improved the board of directors and supervisory committee,committees of institutions and personnel Settings,and constantly promote the shareholders meeting,board of directors,and supervisors,the running of the business management and communication mechanism.However,after tracking and investigating the actual operation process of rural commercial bank in J city,it is found that there are still many problems in the corporate governance of rural commercial bank in J city.Combining the practical problems of rural commercial bank in J City,and referring to the experience of corporate governance of rural cooperative banks in developed countries,this paper determines the general idea of optimizing the corporate governance mechanism of rural commercial bank in J city,formulates the optimization plan of the corporate governance mechanism,and proposes to optimize the ownership structure,improve decision-making,Specific measures such as supervision,enforcement mechanism and incentive and restraint mechanism,as well as improving the external environment of corporate governance of rural commercial banks,which have certain reference value for further deepening rural financial reform and improving corporate governance of rural commercial banks.
