In order to deepen the reform of rural credit cooperatives,the people's government of Henan province plans to spend three years in 2015 to promote the restructuring of Henan province's rural credit cooperatives and establish a rural commercial bank.By the end of June 2019,104 rural commercial Banks had been established in Henan,and 34 rural credit cooperatives had yet to complete the restructuring.From the perspective of the actual situation of some rural commercial Banks that have completed the restructuring,corporate governance problems are still prominent,and different stakeholders have different demands,resulting in the poor operation and low efficiency of corporate governance,and the level of corporate governance needs to be further improved.Based on P,rural commercial Banks as the research object,this paper introduces the P city rural commercial bank reform background,the main business,organization structure and system Settings,and so on basic situation,from the general meeting of shareholders,board of directors,board of supervisors,and senior management set up and run four aspects analyzes the P city rural commercial bank corporate governance,combined with the related cases,summarized the P city rural commercial bank shareholders in corporate governance exists as,shareholders as disorderly,insider control,supervision and management become a mere formality,long under the management of escalation,reference more cone segmentation method and Mitchell score method,The relevant stakeholders of rural commercial Banks are classified into shareholders,employees,government and customers.Meanwhile,based on the stakeholder theory,the paper analyzes the demands and contradictions of four different stakeholders of rural commercial Banks:shareholders,employees,government and customers.Based on the analysis of the rural commercial bank stakeholders,shareholders put forward by strengthening management and optimizing equity structure,increase the independent directors proportion,stakeholder dialogue mechanism established,to improve the status of the board of supervisors,the introduction of stakeholders,perfect appraisal system,improve staff quality,strengthen the supervision and management,perfecting the information disclosure,and strengthen the party leading countermeasure method,further improve the level of rural commercial bank's corporate governance.
