In the context of the “Belt and Road”,the overall process of Chinese companies 'overseas mergers and acquisitions has accelerated significantly,and the phenomenon of cross-border mergers and acquisitions has become more frequent.Existing research shows that resource orchestration affects the performance of companies' M & A,but how do companies arrange resource after merger and acquisition ? Why does resource orchestration affect corporate performance,and what is its path and mechanism? The theoretical community has not given a clear answer to the above problems.Based on the Resource Orchestration Theory,using the balanced scorecard as a measure of strategic performance,Geely merges Volvo as a typical case,adopts a single case study method,and based on three dimensions of resource orchestration theory Study the impact path of strategic performance.The results of the study show that the organization,bundling,and utilization capabilities of enterprises play an important role in cross-border mergers and acquisitions in resource orchestration: resource organization capabilities affect the internal process dimension by managing the resources and capabilities of the enterprise;resource bundling capabilities are constructed by using acquired resources Ability to influence customer dimension and learning and growth dimension;resource utilization ability affects the financial dimension,customer dimension and three dimensions of learning and growth of the balanced scorecard by using the constructed ability.Finally,it sorts out the logical relationship between the impact of corporate cross-border M & A resource orchestration on strategic performance,and constructs a theoretical framework for the impact of corporate resource orchestration on corporate strategic M & A performance path.The proposal also provides theoretical guidance for improving cross-border M & A strategy performance.
