In the era of the information explosion,with the rapid development of emerging markets and emerging technologies,today's society has become inseparable from economic globalization.Competition and development of the Internet industry have become one of the topics that everyone is currently focusing on;most Enterprises all adopt the strategy of "going out" to expand overseas.In order to seize resources,realize technology going abroad,learn advanced foreign product development technology or advanced management experience,it has become the goal of catching up among enterprises.In the current Internet market in China,most Internet companies such as Tencent and Alibaba have adopted different overseas merger and acquisition strategies to strengthen their own strength,consolidate their market position and enhance their competitiveness.Therefore,exploring the motives and post-merger performance of Chinese Internet e-commerce companies will help other companies avoid the unfavorable factors in the M&A process,choose better M&A strategies,and obtain ideal corporate benefits.This article is divided into five parts.First,it summarizes the significance,background,research methods and contents of the topic selection.The second part is a literature review,which summarizes the literature of domestic and foreign scholars on cross-border M&A related theories and M&A performance evaluation methods.In terms of aspects,the views of domestic and foreign scholars are divided according to corporate strategy and management perspectives.In the performance evaluation method,most of the literature adopts short-term event analysis and long-term financial indicator methods;Chapter 3 introduces the case of Alibaba 's merger and acquisition of Lazada.First,Researched the characteristics of M&A in China's Internet industry,analyzed the existing problems in M&A performance,followed by a basic introduction to the M&A cases selected in this article,deeply explored the stories behind the M&A events,and analyzed in detail the motivations of Alibaba's M&A in Lazada Chapter 4 is to evaluate the performance of Alibaba 's overseas acquisition of Lazada in Southeast Asia,first study the impact of Alibaba 's stock price after the merger,and then use relevant financial indicators to quantitatively analyze the long-term performance from four dimensions,through post-merger management The performance evaluation conducted a qualitative analysis of the long-term integration effect of the acquisition strategy,and concluded that after Alibaba merged and acquired Lazada in Southeast Asia,the efficiency of enterprisemanagement was further improved;the final chapter is a summary analysis of the case study and aimed at the characteristics and development of M&A in the Internet industry The current situation proposes corresponding solutions and countermeasures.The enlightenment is obtained through the analysis of this case: first,the target company must be properly evaluated in the merger and acquisition activities,and the "small first,then big" overseas acquisition strategy must be strictly followed;second,for Internet companies,it is necessary to set M&A goals in accordance with their strategic layout And methods,always pay attention to changes in important financial indicators,and be alert to cash flow and operational risks;since the user stickiness of any platform is not fixed,the business management and operation capabilities are strengthened,focusing on the guidance,attraction and accumulation of user traffic,and accelerating the product upgrading is also a top priority for companies.In addition,through the complementary advantages and disadvantages of the two companies,the integration of intellectual capital such as technology and talents can be achieved,so that the merger and acquisition parties can give full play to synergies and achieve positive growth in merger and acquisition performance.In the process of cross-border mergers and acquisitions in the Internet e-commerce industry,because innovation-driven growth is a major feature of the development of the Internet,it is necessary to constantly improve the layout of the Internet e-commerce ecosystem and create a closed-loop ecosystem.Innovating the e-commerce business model will be single The business models of the two companies are integrated to create a new business model to promote the development and progress of the business,realize the update and upgrade of the industrial chain,and pay attention to the improvement of customer
