Today's international competition is becoming increasingly fierce,and more and more companies are expecting to rapidly expand their scale and enhance their competitiveness through mergers and acquisitions.Research on corporate M&A performance has also become a hot topic in the financial field.In recent years,large-scale cross-border mergers and acquisitions in China are mainly dominated by state-owned enterprises,but the final results are not satisfactory.The cross-border mergers and acquisitions of the BTG M&A Home Inns are the only successful mergers and acquisitions of state-owned enterprises in recent years.This paper uses the method of The Blanced Score Card to conduct in-depth analysis and research on the M&A performance of BTG M&A from the financial dimension,customer dimension,internal process dimension and learning and growth dimension,and explore how to improve the success of state-owned enterprises' cross-border mergers and acquisitions.probability.Firstly,this paper summarizes the research ideas and research steps of relevant literatures related to M&A performance at home and abroad,and deeply understands the relevant theories of M&A and M&A motivation,and analyzes the mainstream methods of M&A performance at the current stage.Specific case analysis and evaluation provide theoretical basis and knowledge system.Then,the two companies that introduced the merger and acquisition,from the market environment,national policy,corporate strategy and other aspects to analyze the motivation of BTG mergers and acquisitions,and then reviewed the specific process of BTG cross-border merger and acquisition of Home Inns.Secondly,The Blanced Score Card is used to analyze and evaluate the M&A performance of BTG M&A.In the analysis of M&A performance,the company combines the M&A strategy of the enterprise,and selects the indicators from the financial dimension,customer dimension,internal process dimension and learning and growth dimension of The Blanced Score Card.Then,through the selected indicators for performance analysis,the financial dimension is mainly analyzed through the specific financial data of the company's profitability,solvency,and operational capability;in the internal process dimension,the financial expense rate,management expense rate,and sales expense rate are adopted.These three quantifiable indicators are more direct to the internal process evaluation of the enterprise;in the customer dimension,the three indicators of market share,occupancy rate and membership growth rate are analyzed before and after the merger;The growth dimension adopts indicators such as high education ratio,total asset growth rate,and employee growth rate,and conducts an in-depth analysis of the learning and growth of the company based on the changes in indicators.Thirdly,in order to seek the intuitiveness of the performance evaluation results,this paper first uses the analytic hierarchy process to determine the index weights,and then introduces the fuzzy comprehensive evaluation method based on the determined index weights to comprehensively score the performance of BTG M&A,to further corroborate the paper.Analysis results.Finally,the conclusion of this paper is drawn: the acquisition of BTG will help to enhance the value of the enterprise,but the integration work after the merger needs to be strengthened.And summarize the revelation and give suggestions.At this stage,scholars at home and abroad generally use the accounting research method or the event research method to study the M&A performance of enterprises.However,the accounting research method pays too much attention to the financial status of enterprises,and the event research law can guarantee the strong and effective stock market.accuracy.Based on this,this paper applies The Blanced Score Card to evaluate the performance of mergers and acquisitions,and combines the financial dimension and non-financial dimension to strive for comprehensive and objective evaluation.Because there are few successful cases of large-scale cross-border mergers and acquisitions in China's state-owned enterprises,and the first-time M&A of M&A is a relatively successful case in recent years,it can provide experience for China's upcoming large-scale cross-border M&A enterprises.The practical significance.
