With the development of economic globalization, listing on a stock exchange to raise capital has become a key strategy for Chinese and foreign enterprises to boost their competitiveness. The prospectus, issued before the public offering of shares,is an important legal document for public reference, which is essential for a company to successfully raise capital from the market.A prospectus covers the company’s management, business plan, financial statements, share capital and stock issuance, financial status, annual reports in recent years, shareholder’s resolutions and other related issues.Entrusted by the Zhengzhou Huaye Translation Company, this author translated from English to Chinese the prospectus for its client the Fragrant Prosperity Public Listed Company.Under the guidance of Skopos Theory of translation by Hans Vermeer, the author carefully analyzed the original text, realizing that as a public legal document, the prominent feature of this prospectus was its effectively concise language, with unique characteristics in terms of vocabulary, syntax and text.In translation, the translator had to heed the issues involved, such as specialized vocabulary, special sentence patterns, and textual style,so as not only to retain the original information, but also make the target text acceptable and acknowledged by the Chinese readership. This report describes the process of the translation, identifies the problems encountered, and indicates the key points and difficulties. With selected cases, the report also elaborates on the skills and strategies employed to deal with conversion problems like passive voice, word order, arrangement of major predicate and accompanying circumstances, long and complex sentences, textual structure, etc. The overall purpose is to make the target text namely the Chinese version sound more like Chinese and suit the needs of the Chinese readers. The author hopes that this report should have implications for subsequent practice of translating such financial legal documents as prospectus.
