| It is an inevitable trend for the company to develop and operate,to divide the rights of stock rights,and to divest the ownership and control rights.Therefore,the exploration on the control and ownership of stock rights,especially the trust interest crisis of agents and the infringement of the legitimate rights and interests of small and medium shareholders by large shareholders in the way of abusing stock rights,all need to establish appropriate systems to protect.The voting trust system of shareholders can play a very positive role in maintaining the continuity of company management,protecting the interests of small and medium-sized shareholders,helping the company to finance and promoting the social public interests.In 2002,there were some application cases of voting trust in China.Anheuser Busch company,the world’s largest brewer,signed strategic investment agreements with Qingdao beer to maintain the purity of its brand.Moreover,in recent years,voting trust has also shown its unique advantages and values in charitable donation shares.For example,the design of Cao Dewang’s charitable donation shares in 2009 and Niu Gensheng in 2008 are the unique values of voting trust system.In recent years,China’s stock rights are becoming more and more decentralized.The voting trust system will make up for the shortcomings of the voting collection system and the voting agent system.It plays an important role in similar events about the fight for corporate control,such as the "battle between the king and the Wan Bao" and so on.Now,the application of voting trust in our country has appeared a more general trend.In order to promote the survival and development of the voting trust system of shareholders in China,this paper will analyze and study the conflict of interest and its performance in the voting trust system from the perspective of interest balance,and study the regulation and conflict coordination of the voting trust system in China,so as to achieve the purpose of interest balance. |
