Legal Research On Commercial Registration System In Guangdong Province

Commercial Registration System is one kind of Business System,which is drew up to guarantee safe dealings by government for macro-regulation.Since Commercial Registration System Reform from 2014,a series of reform measures such as subscribed capital system,the reform separating permits from the business license and annual report disclosure have greatly stimulated the vitality of the market,reduced market access barriers,and made a marvel transition on market regulation.Especially in pilot city like Guangdong Province,a large number of laws and regulations about elastic admission and inadequate supervision have been introduced,which have made up laws on Commercial Registration System,not only enhancing the efficiency of business in government,improving the convenience of enterprises,but so optimizing the business environment and achieving great success on reforming.However,for lack of uniform legislation on Commercial Registration System,many priority measures have shown particularity and limitations on local law."Regulations of the People’s Republic of China on Commercial Registration System(draft)"(hereinafter referred to briefly as Regulations)had solicited opinions from June 2020 and adopted in April,2021,which will have great influence on Guangdong’s reforms.Regulations will solve the problems on Commercial Registration System Reform and Legislative Reform in Guangdong,for the sake of perfecting and promoting Commercial Registration System.Setting in Commercial Registration System Reform,this paper shows how domestic and foreign scholars analyze measures to solve the problems on reform by combing their theoretical research achievements.In order to comprehensively deepen Commercial Registration System Reform in Guangdong,this paper analyzes difficulties caused during reform and puts forward proposals by combining regulations with a series of methods like literature research,comparative analytical method and field survey(Because the official version of regulations has not been released,this article takes draft version as example.).This article is divided into four parts.The first part introduces the relevant core concepts and attribute of the research issues,and lays a theoretical foundation for the discussion of issues and suggestions for Commercial Registration System Reform.The second part talks about mains of Commercial Registration System Reform,including comments on previous system,background,legislative review,measures and achievements.Highlight the effectiveness during reform through retrospectively analyzing the system of Commercial Registration System Reform.The third part expresses the outstanding legal issues about Commercial Registration System,which mainly concerned on these aspects:Low martet acess leads to potential transaction risk,There are flaws in Regulation System during Process and Afterwards and Information Disclosure System is out of perfect and so on.All of the problems have become a stumbling block not only to market economy development,but also to the rule of law promotion.The forth part summarizes experiences from Commercial Registration System in foreign counrties.The last part puts forward proposals and suggestions to solve the problems,combining with positive and negative effect caused by Regulations.A series of suggestions are put forward,including perfecting formal examination in case of false registration,establishing Regulation System during Process and Afterwards and Information Disclosure System,so as to solve the problems.Exploring theory of Commercial Registration System Reform will provide the theoretical and practical basis for promoting reform and targeted solutions for optimizing the legal business environment and developing a modernized economy system.
