Research On The Governance Structure Optimization Of China CITIC Bank Z Branch

In recent years,with the help of the trend of rapid development of China’s economy,domestic commercial banks have enhanced their own strength and expanded their influence.Today,China’s reform and opening up has been ongoing and emerging new achievements,banking reform is constantly deepening,has made certain achievements in the management,such as standard corporate governance framework,mutual restriction supervision system is initially established,business standardization and interbank cooperation,etc.While affirming these achievements,we cannot deny that there are still some problems in the current governance structure of commercial banks,such as the single property rights structure,the imperfect operation mechanism of the board of directors and the board of supervisors,the lack of innovation in the management mode,and the lack of mature talent incentive mechanism.The causes of these problems are various,social factors,cultural factors and other factors will influence it,and the bank internal governance structure and bank itself development degree matching is one of the key factors,how to improve commercial bank governance structure,improve the competitiveness of bank,achieve more stable and long-term development,is the current commercial Banks facing major challenges and problems to be solved.Therefore,this paper takes the governance structure of China CITIC Bank Z Branch as the theme,and aims to optimize the governance structure of non-state-owned commercial banks so as to enhance their core competitiveness and better cope with the current complex and volatile external situation.This paper combines the investigation method,literature research method and semi-structured interview method,studies the governance structure optimization of CITIC Bank Z branch,analyzes the existing problems of management,operation situation,and organizational structure,systematically combs the governance situation of CITIC Bank,and analyzes the internal and external influence factors,and analyzes the corresponding optimization and improvement strategy.It also extends it to the overall development of China’s commercial banks,and puts forward some effective improvement suggestions for the optimization and improvement of the governance structure of China’s commercial banks.This article is generally divided into six chapters.The first chapter is the introduction,which briefly describes the background of the research,explains the research purpose and significance of this paper,analyzes the current research situation combined with the relevant literature and the optimization of the governance structure,and gives the research methods and ideas of this paper.The second chapter is the conceptual theory content,which briefly summarizes some academic concepts and corporate governance theories involved in this paper,paving the way for the subsequent research.Chapter III analyzes the typical governance models of domestic and foreign commercial banks,and summarizes the advantages and disadvantages of the current governance model of China Citic Bank.The fourth chapter is the analysis of the current governance status of China Citic Bank.Combined with the current overall optimization status and objectives of China CITIC Bank and the communication with the internal staff of China CITIC Bank Z Branch through semi-structured interviews,the in-depth analysis of the problems existing in the current internal governance process of The Z Branch of China CITIC Bank is conducted.Chapter 5 is the citic bank Z branch governance structure optimization strategy,through the internal and external environment of the citic bank Z branch may affect the governance structure optimization factors for detailed analysis,points out the citic bank Z branch current governance structure optimization objectives and need to follow principles,on the basis of put forward the citic bank Z branch in governance mechanism,organizational structure,information disclosure,risk management and talent management of improvement Suggestions.The sixth chapter is the research conclusion.Combined with the development environment of China commercial banks and the analysis and research on the Z-classification behavior of China CITIC Bank,some suggestions are put forward on how China commercial banks can optimization the governance structure to achieve more lasting and better development under the current social development situation.
