With the rapid development of knowledge economy, universities need to expand and improve the third function of social service persistently and participate in economy development at nation and local levels actively. The most efficient pattern of social service is to spin off technological enterprises thus promoting the commercialization and industrialization of university technology. The university spin-off companies in China have developed and practiced for many years. The tremendous achievements should be approved, while some extinguish issues are also inevitable. Comprehensively, the failure rate of university spin-off enterprises remains high and the development scale has not been established. After the derivation period, many enterprises’ development always tend to be suspended and to be lack of sustainable derivative capability. In contrast with the enormously invested resources, university spin-off enterprises have not achieved expected economy benefit. The staple reason for those issues is that relevant mechanism of university derivative enterprises is incomplete, which is derived from unenlightened development patter. On the basis of such cognition, systematical research of developing innovation university spin-off enterprises should be established which has the important theoretical and the practical significance on the development of university spin-off enterprises in China in accordance with the successful experiences of innovative universities abroad.On the basis of collecting and summarizing the current domestic and foreign research achievements, the resource-base theory, cooperative game theory, social network theory and quantitative-qualitative theory were integrated with institutional theory to study the activation of the internal resource, acquisition of external resources, the vector and operation mechanism of the resource integration, governance strategies, which are the essential and critical issues for establishing mechanism of university spin-off enterprises.First of all, in this paper, we define the innovative university, university spin-off companies, university innovative resource and innovative resource integration and other related concepts. To provide theoretical support for follow-up study, we introduce the resource-based theory, cooperative game theory and social network theory to our study. We also illustrated research logic of this paper, which is the relationship between internal resources activation and innovative resources base formation, the impact of external resources acquisition mode on the innovative resources expansion, the vector and operation mechanism of the innovative resource integration. According to this, we have built the full text of the research framework.Secondly, combining the resource-base theory with grounded theory, we constructed the theoretical model for mobilization mechanism of innovative universities to explain the research objectives, methods and data collection process. The grounded theory was applied for research data analysis, and a triple decoding process of open coding, spindle coding and selection coding was performed to refine and develop the connection between different categories, hereby establishing the theoretical model. Finally, a pattern of story line was applied for systematical elaboration and summary. The cooperation game theory was utilized to study the external resources for innovative university. First, we analyzed the risk investment, industrial research and development support, management resource and the necessity of three kinds of external resources and got access to the basis of external resources. Then we put forward three kinds of mode based on three external resources, which is the principal-agent model based on the risk investment acquisition, the technology alliance mode based on industry research and development support, commercialization operation cost subsidy based on management resource acquisition. For these three kinds of mode, we respectively established the game model to analyze them.Moreover, we also came up with the build and operation mechanism of the network based on the internal and external resources integration. Using social network theory, we interpreted innovative resource integration network construction based on resources integration function, and carried on the empirical case. By comparing with the relevant evaluation method, we selected the maturity evaluation theory to construct the innovative resource integration network capability maturity evaluation model, which is used to comprehensively evaluate the interaction effects of innovative resource integration network.Ultimately, according to theoretical analysis, we integrate the current practice of innovative university spin-off companies in China to propose the related governance strategies respectively from the internal resources activation, external resources acquisition, internal and external resources integration.
