The purpose of this thesis is to prove necessity and feasibility of establishing human capital Enterprise Property Rights(EPRs). Human Capital has natures of property and profiting. The property rights of Human Capital is divided into Private Property Right's(PPRs) and EPRs, human capital PERs is quantitative control right and residual claim right established according to human capital nvested to a firm. The structture of enterprise contracts are divided into three layers, the allocation structure of enterprise forms according to the key contract of a firm. In different economic times, there are different confiton of human capital EPRs. Establishing EPRs is the result of enterprise institutions evolvement. In Post-industry Times, the quantity and risk of human capital investment is higher than that in Industrial Economy times, The contributions of human capital to gaining advantage of competition and creating of enterprise value are improved, the nature of scarcity , specialty , value obscurity and mortgage of human capital is outstanding than ever, this three elements provide the reason why owners of human capital can divide EPRs with owners of Substantial capital. Establishing EPRs of human capital can improve the equity and efficiency of firm and make it tend to meet the standard of ideal enterprise. The encouragement, measures of share and reforms of enterprise institution can only provide partial EPRs to human Capital owners so far, in this circumstance, the Human Capital owners don't have perfect PERs. In order to establishing EPRs of human capital, We should work on institution innovation, plan design and construction of human Capital market simultaneously. In aspect of institution innovation, The government should allow invest Human Capital into firm by way of holding the Human capital share and reform relevant laws or regulations. In order to ensure the plan of the human capital EPRs is practical, the author designs the system of dynamic human capital share to ensure the portion of human capital enterprise property rights identical with the. contribution of human capital Owner as far as possible. In the field of construction of market , we should recognize foundation, meaning, structure and functions performed by human capital market in the establishing EPRs of human capital, and grasp operation process of human capital market inside and outside firm, develop regulative effect of market mechanism. We should adopt suitable measures to make up for the weaknesses of human capital market in our country in order to ensure EPRs are shared by the owners of Human capital and Substantial Capital successful reasonably.
