At the time that the state-owned commercial banks' reform is approaching its end, the City Commercial Banks (CCBs), as the third echelon of the Chinese banking system, has gradually become the target of the Chinese banking reform. In the market structure of the Chinese banking system characterized by the high oligopoly, the CCBs play an irreplaceable role in the regional economy development and small and medium enterprises (SMEs) financing. At present, on the one hand that the SMEs financing distress still remain unsolved, and on the other hand, the CCBs inherent comparative systematic risk because of the One City Operation mechanism, to solve the two problem, institutional innovation is needed, and the permission of CCBs' transregional operation undoubtedly makes an great breakthrough in the reform. the thesis surrounding the theme of the CCBs' transregional operation, following the course of the interstate operation of the American's banking system, integrating the scale economy theory, banking market structure theory and SMEs financing theory, analyses the history, the current situation, the existent trouble of CCBs, and assess the key point and model of CCBs' transregional operation. And then make some pre-mature advices for the CCBs and supervision department.The first chapter summarizes the research on the transregional operation of banks home and abroad. The second chapter reviews the history of the CCBs, and clarifies the position of the CCBs in the China's banking system by comparing the CCBs with the state-owned commercial banks and the joint-stock commercial banks and by the comparison between the CCBs of different regions. The result shows that the CCBs possess the ability to operate across the regions for the very first time.The third chapter analyses the motive of the CCBs'transreigional operation according to the outside environment, inside stress and self-motivation and point out the necessity of the CCBs'transregional operation. The third chapter also analyzes the present situation and the existent obstacles of the de novo model of the CCBs'transregional operation. Furthermore, the third chapter introduces the market-entry terms constituted by the China Banking Regulatory Commission. Based on the terms,the determinants of the de novo entry are examined by using the Logit econometrics model and the results show that the risk management capacity is the principal factor. The fourth chapter emphasizes on the transregional models and its strength and weakness, such as the merge and acquisition model, the organization coalition model and the equity participation model. The fifth chapter, based on the two foregoing chapter, further points out that the mainstream model is the denovo model and the eqity participation model, and using the Game Theory, the share pricing issue is discussed and the optimal price is determinated. The sixth chapter integrates the above chapters and makes some advices for the CCBs and the supervision department respectively. The suggestion include that the CCBs should specify its market positioning, optimize its organization structure, strengthen its risk management ability, and some CCBs should relocate its headquarter in economy-center metropolis such as Shanghai and Tianjin, and the supervision department maybe make some efforts in improving the market entry and market withdrawal mechanism, building the deposit insurance mechanism and institute some preferential policies to help the CCBs. The seventh chapter forecasts the prospect of the CCBs, and believes that with the progressive advances of the CCBs' transregional operation, only a few CCB will turn into nation-wide commercial bank, and the China's banking system and bank market structure will be changed.
