Through the analysis and research on massive literature materials, this thesis firstly summarized main schools of the organizational theory, the organizational change theory and the enterprise theory and their viewpoints, taken intrinsic problems of the enterprise organization for importance. Then studied the problems such as basic point choice of organizational change, change matter, procedure management and impact appraisal and so on which based on the need of organizational change. At last, confirmed some viewpoints put forward in the article by two cases. Concretely speaking, the main content of the paper is as follows:Firstly, research summary of related theories. From the historical origin, the organizational theory can be divided into three kinds approximately: the classic organizational theory which emphasized the function of "the official organization", science organizational theory which emphasized the function of "the non-official organization", modern organizational theory which pay attention to both "the official organization" and "the non-official organization". We also took research on organizational change theory from three angles: the organizational change theory which through the personal effect for the individual success, dynamic mechanisms theory which through work team rather than individuals to complete organizational change. The open system theory in which from holistic system perspective for organizational change in a organizational level. Modern enterprise theory which make main study on contractual theory, asset specificity theory, indirect pricing theory, agent theory, team theory, stakeholder theory and so on, with particular emphasis on the impact on organizational change.Secondly, enterprise organizational nature study. First defined organization as: "organization is the man-made install and objective existence which carry on resources deployment through power and right for the achievement of the interest of certain people.
