Governance Of Coordination And Cooperation From The Perspective Of Enterprise Group

Since the early 20^th century, with the constant expansion of scale and enhancement of power, business groups have played an important role in economic field. In recent years, Chinese business groups have witnessed increasingly development and have become an important force of our national economy. However, the governance problems have been on the agenda. The contradiction between business groups' important position in Chinese economic life and the low efficiency in their governance drives us to study business group governance in depth.Business groups are inherently complex, so we can not simply use the achievements of individual enterprise. This dissertation analyzes the governance of business groups from the perspective of coordination and cooperation, and carries out the corresponding theoretical framework based on the characteristics of business groups. Therefore, this study will be meaningful for corporate governance, business group governance theory, and it will broaden the research view of corporate governance. The dissertation will also put forward corresponding solutions and suggestions based on our current situation and existing problems, which will help business groups operate smoothly and healthily.This dissertation integrates Economics, Management Science, Sociology and other theories, making use of network analysis and comparative analysis methods to implement the following research work:1. This dissertation establishes the framework model of business group governance. It analyzes the defection of transaction cost economics in demonstrating the nature of business group, and explains the nature of business group with social network theory: business group is a network of coordination and cooperation among stakeholders embedded in the network of social relationship. Business group governance should achieve two goals: one is to establish an overall dynamic harmonization mechanism among stakeholders; the other is to establish stable confidence and cooperation relationship among parent companies, subsidiaries, business groups and external stakeholders, thus it can provide resources for the sustainable development of business groups.
