This study creates a generalized framework of comparative analysis of relationship between banks and enterprises in two different administration styles, America and Japan.The Authorities in China had rights to intervene operation of economic entities including banks, based on previous policies and system of planed economy. banks and enterprises could not be seen as economic entities and there was no credit relation between them. Banks also had potential function of government even though financing enterprises as lenders in central control economy system. Banks could supervise enterprises not by credit relationships but by government functions.Reformation banks and enterprises as economic entities with identification of property right and corporate governance is the king of the economic reform during establishment of socialism marketing economy in China. The paper attempts to explore a new credit relationship of China characteristic and market-oriented based on analyzing system efficacy, experiences, disciplinarian and internal relation between banks and enterprises (RBE)in America and Japan.RBE in West countries was created by market and supervised by governments which implemented protection of property rights, credit in due form and informality to promote RBE. Theoretically, relationship between government and enterprises (RGE) influenced RBE in initial stage, operating mechanism and market theories. America and Japan as could be seen as different representatives of how to maintain market entities credit system, credit management and legal system for developed capitalism countries. The two countries tries to find mechanism systems to maximize their system utilities and modify the systems along with development of the economies. So we can find the experiences from the two countries for creating new RBE in China.RBE is an economic relationship created in trade actions; it needs mutual action for maintaining credit and contact system. One part could not damage the other part's interest due to free trade contract. From theory of System Economics, RBE is influence by a series of regulations including in due form, informal system and relevant implementation mechanism. There are different RBEs in the two countries due to different systemic environments. RBE might be updated following up the changes of systems to fit the new society and economy. The paper attempts to explore new RBE in China through comparative analysis of RBE in America and Japan.ChaptersChapter One, Theoretical Analysis of RBE. System arrangement of which Credit management, information collection and loan supervision are the keys of reduction of transaction cost and information asymmetry for maximum utilities of RBE.Chapter Six, Reformation of RBE for America and Japan. From the 90's of 20th Century, the systemic environments in the two nations were updating for more efficient along with deepening of liberal finance.Chapter Seven, development and evolvement of RBE in market economy. give a proposal of how to build up new RBE use in references of the two nations'RBE in China.
