How strengthen the work of earlier stage of the highway BOT project and make BOT mode apply on highway construction successfully, have been concerned by everybody day by day.Based on fund contradiction faced in construction of highway in our country, this paper introduce the application of BOT mode on the highway construction in our country and foreign , analyze the current study of the BOT mode in our country, and discuss the BOT financial mode, fundamental structure and basic operation program. Base on the summarize, this paper get the successful factors of highway BOT financial mode by highway BOT project. Then, considering three sides which is the government, the bank and the investor, the paper find out focus question from the key factor. According to the focus question of the government, the bank and the investor and considering how equilibrate tripartite interests, the paper establishes a set of evaluation index system and evaluation standard. Finally, according to evaluation index system and evaluation standard, the paper make the instance analysis of Pudong project, the research of this article will provide valuable advice for China's BOT project in highway construction.
