Container rail-sea intermodal transport as an efficient form of organization is the inevitable development direction of international container transport. Rail-sea intermodal transport has already been formed through long-term development, but there are still a wide gap compared with developed countries. In recent years, with the gradual implementation of relevant plans, rail-sea intermodal transport infrastructure is put on the agenda for the development of hardware to create a good condition. Many management issues such as imperfect system and coordination management, transportation mode maladjustment are urgent to be researched and solved. Rail-sea intermodal transport enterprise alliance is an effective way to solve this problem.Based on the current status of rail-sea intermodal transport, the paper analysis and summarizes the definition and necessity of corporate alliances between rail-sea intermodal transport enterprises. Then it studies the alliance building process adapted to the sea-rail intermodal transport system, and propose an alliance operation based on multi-Agent mode. The alliance mode can promote the achievement of coordination management and resource complementary, simplification of streamline process and improvement of efficiency.With the basic framework of the operation mode, the paper studies the optimization process basis of multi-Agent. Furthermore, it proposes the evaluation index system containing 29 indicators, and the optimization model based on combination method. The index system has an advantage over comprehensibility and coordination, while the model integrates the advantages of existed methods, and has strong applicability and operability verified by the case.As a further, the paper sum up the profit distribution of rail-sea transport intermodal enterprise, and propose influence factors including input elements, effort level, contribution factors and risk factors, and establish the index system of inputs and risk factors. By analyzing the existing methods of adaptation, the paper modifies Shapley value model. Then it propose a comprehensive profit distribution model integrated five models, which is reasonable and applicable to provide decision support for the establishment of incentive mechanism of rail-sea intermodal transport operator.
