After the Cold War, many countries in the world have adjusted their foreign policies along with the development of the international political situation. They try their best to get into the international society in order to develop themselves. Vietnamand USA renewed their foreign relations in 1995 and since then, their relations have got a full-scale and rapid development. Their trade volume has increased year by year and the US investment in Vietnam has also grown year after year. Their leaders at all levels exchange visits frequently, especially at high levels, such as Vietnamese Prime Minister Pham Van Khai visiting the USA in June 2005, American President Bush visiting Vietnam and joining the fourteenth APEC meeting in November 2006 as well as Vietnamese Chairman Nguyen ginh Trach being to visit America in 2007 and so on. Frequent exchanges in all fileds, to some extent, have influenced the situation of the local area and drawn much attention from all circles. From the perspectives of realism and institutional liberalism in the international relations theory, this paper mainly analyzes the developmental of their relations after the Cold War, predictes their bilateral trend, and puts forward some thoughts and suggestions on how the status quo and development of the two sides affecting our nations, especially the influence of the status quo and development of Sino - Vietnamese relations as well as SinoAmerican relations. Then it concludes that Vietnam' s effort in developing its relations with USA is in fact the result of applying its″Balance of power nations″policy. That is to say Vietnam tries to get and keep balance of power. Therefor, Vietnam still lay store by developing its relations with other large nations, especially the relations with China. Though the USA has developed the relations with Vietnam, it is not the stress of its foreign policies but is out of its need for its global tactic. So basically, the development of the relations between Vietnam and USA will not change the peaceful situation between Vietnam and China. But we should adopt relative measures to protect our nations interest.
