The research to management philosophy had become to a hot topic recently, and many scholars had come out with a lot of writing. And many dissertations were about Confucianism's management philosophy. Dong Zhongshu was an important people in philosophy history. But the dissertations about his management philosophy were not so many. The author wants to summarize and unearth his thought, wishing to give some use for reference to present management.I researched his management philosophy begin with his thought about the relation of nature&human. He thought that human is the copy of nature. So, what nature has,the human also has. His theory of human nature secceeded to the theory of Mengzi and Xunzi. He thought that human nature has good and evil at the same time. And he advanced three levels of human nature, fully grown the nature, controling the desire. He thought morals governance and punishment are all essential, but morals governance was better than punishment. He admitted that praxis, profit and system are logical, but he thought that human should aspire after righteousness. His Duzhi affirmed that one side system is logical and need, on the other hand he advocated people oriented.This article's main sense is to demonstrate that Dong Zhongshu affirmed rationality of praxis, profit and system, and at the same time he thought we should advocate people oriented.
