Because of the complexity factors in planned economy, the corporation governance in Chinese State-Owned Enterprises can't achieve the expect goal, on the contrary, exposures many problems in running. Such as the shareholder meeting can't act as the tiptop power organization, the function of directorate was weak, the surveillant can't monitor the director and the manager. The continuous reform of State-Owned Enterprises and the running of strypped-down State-Owned Enterprises are affected severity. This article will research the theory of corporation governance, analyze the main model of corporation governance, discuss the reason of failure in Chinese corporation governance, and then I will give some advice and suggestion on perfecting the Chinese corporation governance.
