This thesis analyzes the problem on incentive and disciplinary to modem enterpriser by utilizing the theoretical system of Modern Economics,Managerial Economics and Accountancy. The separation of ownership and control in modern enterprise and the asymmetry of information between professional enterpriser and owner are the condition to produce this problem. The establishment of incentive and disciplinary mechanism to professional enterpriser can assure that modern enterprise has the high efficiency produced by the functional division of labor among enterprisers,besides,it is the necessary requirement to avoid loss that is caused because of the disagreement of target gains between enterpriser and owner. For these reasons,whether the incentive and disciplinary mechanism to enterpriser is good or bad,is one of important indictors to evaluate economic system.The corporate governance structure is the background of theory in this thesis. The corporate governance structure considers in a certain aspect the relation identification of human capital and money capital,but its point is put on the establishment of incentive and disciplinary mechanism to human capital. This point not only is the up to date development trend of the corporate governance structure,but also is the emphasis of this paper.The relation identification of human capital and money capital is mainly on the concrete arrangement of claim to residual and residual rights of control. One of its purposes is to establish the non-harmonization model in which both human capital and money capital pursue the maximum expected utility. The other purpose is to establish the comprehensive analysis model of enterpriser's selection mechanism,incentive and disciplinary mechanism and enterprise efficiency. The later is based on the former. Before analyzing this two models,it is necessary to study how two visual angle of corporate governance structure cut-over and agree with each other,and discover the relation between corporate governance structure and incentive and disciplinary mechanism,in order to offer a background of theory to analyze the problem on incentive and disciplinary;it is also necessary to construct a basic analysis model for enterprise's incentive and disciplinary mechanism,that is to say,the basic concepts,content structure and function mechanism of incentive and disciplinary mechanism should be studied. This paper focuses on the modern incorporated business and the state-owned enterprise in bridging economic. One of two visual angle of the corporate governance structure is the consignment agencyrelation,and the other is insider control phenomena. After studying above problems and analyzing the models,it is necessary to use these conclusions of above research to discuss the specific problem of China,namely,we must analyzed the problem on incentive and disciplinary mechanism:Empirical Evidence From China ,and put forward the integral train of thought of establishing efficient incentive and disciplinary mechanism,and elaborate specially the kernel problem of incentive and disciplinary mechanism in manager market-the model of reward incentive and disciplinary mechanism.
