Merger & Acquisition has never ceased since enterprises came into being. In developed countries merger & acquisition has always unfailingly become the eternal theme in the development of enterprises. In China, merger & acquisition prevails nowadays and has increasingly gained its stronger vitality. Especially since 1997, M&A becomes more and more fierce, it has merely become the main stream of development and expansion. However, M & A is a double-bladed sword, as a matter of fact, there is the high rate occurrences and low rate of successful M&A, the key factor is integration. How to eliminate the merged enterprises as soon as possible and eliminate the existing phenomena so as to rebuild the simple trussed boats into a super flattop that can stand huge ocean waves, they are the question that makes many entrepreneur and economists pondering. M&A is not only simple combination of assets, employees and other hardware, but also should be a confluent combination of company strategy, culture and framework.The emphasis of this dissertation is on discussing the integration after the M&A:Firstly, we will put forward the concept of integration management and explain its principles and purpose through analyzing the significance of the M&A and the problems perhaps we will meet.Secondly, a systematic integration management model will be presented, at the same time, we will discuss how to make (integration in the three subsystems) company strategy, company culture and framework. In the illustration of strategy integration, we will discuss the conformity of company target, whole strategy target, operational strategy and functional strategy; In the illustration of company culture integration, we will put it into practice from three aspects: basic group hypothesis, group value and visible action; In the illustration of framework integration, we will analyze enterprise governance structure, framework and basic procedure integration.Thirdly, this part will be devoted to putting forward model and the main measures of integration management to bring strategy, culture and framework together so as to form an organic entity.
