The article, based on the current economic theory, has concluded various phenomenon of the venture capital. Starting from the venture capital's actual meaning on the financing institution refining, we will go further to explore the principal problems of the venture capital institution. And all our analysis to the financing institution, property-right institution as well as the off-market institution base on the research object that we have chosen the institution arrangement of the venture capital companies.As to the venture capi tal, its effect, that pushing the progress of the hi -tech industrialization in our country, that stimulating the non-state owned enterpri ses investment, and that promot ing the economy to increase on a high level, has been general ly accepted. But unfortunately, the present venture capi tal in China has not yet achieved any remarkable progress or anything like the "new economic" mi racle token place in US. And this art icle, according to the analysis to the present restrict ing factors in venture capital industry, would present several proposals on constructing the supporting institution to the venture capital through certain reasonable institution arrangements.
