| Collective township-village enterprises is the product of institution change in the reform of china's economic system. It's rapid development has become an important increase resource of national economy in China. However, along with the further deepening reform and the development of collective township-village enterprises, they embody their weakness of system, especially, there are some problems in governance structure, blocking up their development. So the governance structure in collective township-village enterprises need perfecting.Firstly, this thesis reviews studies on corporate governance at home and abroad, introduces comprehensively and systematically the connotation of corporate governance and its common theories. In succession, based on the positive analysis of emergence and development process of collective township-village enterprises, this thesis makes an in-depth analysis of causes for emergence and development of collective township-village enterprises. Thereby, this thesis reveals the necessity of the reform of governance structure in collective township-village enterprises, further assests three kinds of governance structure change梩he responsibility system, the share-cooperation system and the share system. After that, this thesis analyses deeply main problems in ambiguous property rights, insider control under administrative intervention, equity structure and family centralizational management and their respective causes.Finally, according to china's present practical background, this thesis proposes the basical path to the reform of governance structure of collective township-village enterprises: combination of co-governance and contingent governance, points out that we can reinforce internal governance from angles of improving the reform of property rights system, and standarding stockholder board, director board and supervisor board, reinforce external governance from angles of improving competitive system of market.
