Research On Environment And Countermeasures Of Merger & Acquisition In China After WTO

Along with the open to the external world further and further, Chinese economy and enterprises are facing more and more challenges from the multinational enterprises. To cope with these strong large units, the enterprises in China should consolidate strategically to attain to higher economic status in the world market. Under the present situation, M&A, which considered helpful on regulating industrial structure and organic structure, will be carried out massively in China. Received impetus from the entrance of WTO, the environments of M&A are becoming relaxing, the relative laws atmosphere are tending towards perfection, and government and enterprises are possessing strong intention on M&A. But at he same time, we should recognize that we are on a very low level to compete with the experienced transnational enterprises face to face because we didn't have enough cases and mature theories. For these reason, studying M&A and analyzing its generation and development in China is helpful for us to forecast new opportunity, discover existing problems and seek the solution to these problems. Therefore, the study is very important not just for theory but also for reality.The article is divided into three parts according to the different function. The first part is the preface. It introduces the goal, contents and methods of the study and generalizes the relating study situation of international and native. The second part, including the second and the third chapter, mainly introduces the concept of M&A, classifies it from six different points of view, analyses the generation of it out of the motive of the enterprises, and at last it takes the American enterprises as an instance to introduce the course of development of M&A and analyses its new features and tendency in the United States today. The third part, including the fourth and the fifth chapter, mainly introduces the course of development of M&A in China and analyses the changes been brought to China after the entrance of the WTO. First, it analyses the motives, significances, main bodies, forms, features and tendency of M&A in China. Then it analyses the existing problems and gives the relative solutions. Finally, it analyses two heated problems in China nowadays-foreign M&A and consolidation after M&A.At last, the article generalizes all the materials and look forward to the future's study.
