Intellect economy make the employee's incentive problem more and more important for hi-tech enterprises. However, these enterprises' original incentive mechanisms are unable to adapt to the demand of the society.In this paper, the employee in a company are subdivided into three kinds -manager, knowledge employee and common employee and then analyze the defect of annual salary system for the manager and the present problems of many kinds of incentive for knowledge employee, such as salary, work , environment and so on.Based on analyzing the principles for constructing high efficient incentive mechanism and the characters of all kinds of incentive factors , this paper propose that the emphasis of perfecting the incentive mechanism of hi-tech enterprises is the manager and knowledge employee' incentive mechanism. For the more, the key of perfecting the incentive mechanism of managers is to ensure their possession ofresidual claims and to find the optimum incentive combine. In the part of the method and project of optimizing the incentive mechanism, it is discussed from two aspects-manager and knowledge employee. To the manager, the article put forward a main scheme of stock options incentive with the support of reputation ,power and market incentive .as far as the knowledge employee are concerned it discusses the ways of attaining optimum incentive combine by means of the theory of cardinal utility and ordinal utility .At the same time, it lays emphasis on general program designing which means much to the knowledge employee including salary, work and environment incentive.
