The Study On Corporate Governance In The Venture Capital

Venture capital is such an investment mechanism by which the venture capital agents raise venture capital from all kinds of organizations and individuals, and then invest in the enterprises and items with high indeterminacy, participating in the management of the enterprises or the items to achieve high growth rate and obtain high rate profits by selling out the shares at the end . Corporate governance means mechanism or system devised for dealing with the relation and interest between owner and manager.Based on the principal-agent theory, motivation theory, management theory, property theory and so on ,the thesis makes an analysis on principal and agency in the venture capital and the problem of moral hazard and adverse selection under the condition of high information asymmetry, putting an emphasis on the organization mode of venture capital, governance structure of venture enterprises and corporate governance mechanism. Finally , the thesis makes the study of the organization mode of venture capital in our country and give some advice of how to create China's corporate governance mechanism in the venture capital.
