Employee stock ownership plans(ESOPs) is of great significance in coordinating benefits between the labor and management, improving corporate governance, establishing efficacious encouraging mechanism, perfecting welfare level for the staff and even in the reform of the state-owned enterprise and economical and political reform.From the possessed data, we know that the research abroad on ESOPs has turned to practical domain to emphatically investigate the achievement of the enterprise, synthetically applying statistics, administrative, financial and psychology method. And at present, the research in our country on ESOPs still concentrates on the introduction of foreign experience for the main purpose to provide legislative support to it, while the data how to put ESOPs into practice under current legal frame is comparably limited.In the light of the problem in implementing ESOPs in China, especially the selection of the carrier of ESOPs (or the stock ownership performing subject), this thesis puts forward the project of employee stock ownership trust, emphasizing the study of the questions of legal nexus of employee stock ownership trust t and reconstructing the stock ownership performing subject of ESOPs taking the advantage of trust-in-common.There are five parts in this thesis with a little more than 23 thousand words.The first part is the foreword, summarizing the theoretical foundation and significance of staff holding stock. The second part analyzes the elementary principle of the staff holding stock and trust. The third part expounds that staff holding stock is in need of trust. The fourth part is the probe of the legal question on staff holding stock. The fifth part is the concluding remarks, pointing out the questions needed further studied..
