The managers are the special group in the enterprise organization, This paper has theoretically considered and case studied of the stock-based incentive system .In the aspect of the theory, it has analyzed the property character of the enterpriser human capital, and set up the game theory model based on the entrust -- agent relations and also compared three kinds of the value and interests guide for the stock encourage model with the Chinese characteristic. In addition, the stock options which is the core model has been discussed and the improved model of the principle with the function of stock options has been put forward as well, meanwhile the issues of the standard stock options has been analyzed and optimum design has been performed with our actual practice.In the aspect of the case, through the analysis of present status of our manager encourage and the issues of the conventional reward encourage model , the necessity of the stock options has been proven. At the same time , through the analysis of the practical cases of our enterprise stock encourage , the existing issues have been set forth, and through the statistical analysis for the individual information of our share-holding company, the management buy-outs (MBO), the effect of the stock-based incentives and related issues have been explored .At last, this paper summarized the existing issues in our stock-based incentive system and set forth the related suggestions. Meanwhile this paper also introduced 《The stock-based incentive plan for HY Co.,Ltd.》, which is intended to be practically examined under the condition of the modern enterprise system .
