The motive of this article is to analyze the property rights reform of the state-owned commercial banks, at the background of our having entered WTO and the reform dilemma and non-effectiveness of state-owned commercial banks.This analytic frame of the article is composed of four chapters. In charter one, the thesis discuss on the theory of property rights to get the conclusion that the defect of property right of state-owned commercial banks is the basic reason to it's low effectiveness, which also restrains the farther reform in the institution ground. So it's necessary to reform of property right to overcome the malpractice and to improve the effectiveness. In the second chapter, due to the decisive function of the state in the property rights reform of the state-owned commercial banks, the thesis demonstrates the impossible of the property rights reform on the national utility angle. And argues that joint-stock transformation is the best way considering the Chinese circumstance. In charter three, the thesis discusses the basic ideas about the joint-stock transformation. In charter four I discuss the construction and perfection of corporation governance particularly, because it is so important to the property rights reform that it is related to its success or failure.
