At the end of 2001, The Rural Credit Cooperate in Changshu, Zhangjiagang and Jiangyin of Jiangsu Province transformed to the Rural Commercial Bank. The studying emphases in this paper is to analyze and clarify the corporation governance of the Rural Commercial Bank, not to judge the reform was success or not. Then the dissertation emphasizes the differences of the corporation governance between the Rural Commercial Bank and the international standard of the excellent bankThirdly, in order to dissert the corporation governance from the point of operating result, this paper inspects the year's operating performance of the three Rural Commercial Banks.At last, this paper gives suggestion to improve the corporation governance of the Rural Commercial Bank from three way: the perfection of the outer governance environment; the optimization of the inner governance frame; the uniting among the Rural Commercial Bank.
