| Enterprise legal adviser system is one of the widely used system in the large-and-medium-sized enterprise in western developed countries. With the development of more than 100 years, it has been formed perfectly till 1980s.Legal advisers become the individual group compared with lawyers, they play a key role in many fields such as business management, foreign trade, foreign investment, etc. At the beginning of 1990s, the enterprise legal adviser system has been put on an important agenda in China. However, affected by many facters, include tradition of legality, culture of law, enterprise legal adviser system's construction in China is not satisfying, compared with the western countries, which has been regarded as a hidden barricade for our enterprises to improve business management. Therefore, it has great realistic meaning and profound historical significance to research how to improve this system. Nowadays, though the debate evokes societywide reperussion, which is between the enterprise legal adviser system and the company lawyer system, jurists engaging in this field behave calmfully. In this essay, the author thinks that it is not merely to consider the rights and interests of the 100,000 enterprise legal advisers in discussing the construction of enterprise legal adviser system, furthermore, it should be concerned as problems to society, economy and law. Combining with her own experience, the author uses the principles of sociology, economy, science of law and management to analyse the limitation of the enterprise legal adviser system in China, according to the comparison between westerncountries and China in historic evolution and formation of the enterprise legal adviser system, and the investigation of the contemporary enterprise legal adviser system. She also raises re-examining the system closely from the angle of function of legal adviser, and approaches some subjects on how to improve this system.
