With the deep development of socialism market economic system reformation, stated-owned enterprise shows a lot of very obvious defects in itself, these defects create a lot of problems as follows :unclear main figures of property right, overflow debt high agency cost, lower efficiency, severe control of manager themselves and so on. all the above become one of essential factor :that is, those hinder, the further development of socialism market economy, therefore, the strategic changes is a very imperative ,one of the key point is the reformation of capital structure and corporate governance of state-owned enterprise, many experts and scholars have done quite comprehensive theoretical and practical research on the process of optimizing above two aspects, obviously in a way there may exist single view of point and limitation just for the singleness of optimizing above .therefore my research topic is to analysis the following questions as hampers in the reformation of state-owned enterprise, the features of capital structure of the state-owned enterprise, the content and problems of corporate governance of state-owned enterprise, and the relationship between the structures, the author puts forward the ideas on the reformation of state -owned enterprise: reinforcing the reformation of state-owned enterprise capital management system ;executing the classification management of state-owned capital; establishing scientific management system of state-owned, making capital market perfect; occupying the multiform main figures of investment and various board of directors and different management form that workers interfere propelling the reformation of state-owned enterprise further therefore, completing the harmony between capital structure and corporate governance gain the goal of maximum value of state-owned enterprise..
