Stock-ownership incentive method developed and used in enterprises management as a main way in west country of marketing economy , will become a new mode to be used in China's enterprises. This paper put the emphasis on the incentive issue of China's private enterprises. After explaining the basic theory of the stock-ownership incentive, the article analyzed the adaptability and adaptable condition of the theory to the private enterprises and then focused on the important issues of how to arrange all kinds of constituently and the preconditions to make a management mechanism inside the enterprise in order to design a new feasible. Stock-ownership incentive mode adapts the present condition in China. The research object is to find a solution to the problem of how to obtain human resources and propose a new advice for the initiator of the private enterprises.This dissertation mainly adopted case investigation and testifying research, with many references and materials, the dissertation did the some investigations respectively to the owners and managers of the private enterprises, clarified the problems that the enterprises face and efficient pursue of the administrative talents . Meanwhile, through quite a lot inquiry and investigations, the stock sharing motivation's pattern, solution , advantages and disadvantages were also discussed.The paper consists of 6 parts as fellow below. The section one analysed the reason of the brain in the private enterprise, and at the same time the stock sharing incentive mechanism as an effective solution to this problem was presented. Then the paper researched progress on the theory of stock sharing motivation. In the section 2 a new concept of the stock sharing incentive mechanism was proposed and then the feasibility of implementing it in private enterprise in china P.R was discussed. The section 3 put the emphases on the theoreticalfoundation of the stock-ownerships sharing motivation. The section 4 analysed how to apply the theory to the private enterprise. The section 5 in order to better understand the theory the paper gave a case study on the application in NEU Software Group and proposed some advice and suggestions about improvement. In the last section the paper summarized all the discussions above and at last made a conclusion.
