Since 1950's, the information revolution with PC internet revolution as it main-steam haspushed industrial economy age to a new one--intellectual economy. The production anddevelopment of intellectual economy depend on the storage and construction of human capital as well as the efficiency and total volume which human capital can offer. Human capital has become not only rare resources for the development of economy and society, but also key, valuable resource for an enterprise to gain increment and sustainable development. Superior human capital is a prime condition for an enterprise to gain sustainable competence as well as a main aim for value management and competition strategy. Enterprise human capital management means not only identification, development, and increment of human capital, more important it aims at improving the disposition efficiency and service efficiency, in other words the most important thing is set an effective incentive to the elements of human capital through incentive .It make the general-capital-oriented enterprise shift to human-capital-oriented, and make the enterprise shift general competence to sustainable competence.Under the background of the information economy, human capital is a productive factor with the greatest importance, human capital management is important to improve corporation core competence and meet the global competitive situation for the corporation. So on the basis of analyzing human capital theory and human capital characteristic, the paper studies the human capital incentive theory. Then, it points out existing problems of Chinese corporate human capital management and human capital incentive mechanism. The thesis emphasizes that it is of great importance for speeding up Chinese companies human capital incentive mechanism reform to utilize the advantageous international opportunity and enhance the corporation competence .It renders several methods about reforming enterprise human capital incentive mechanism and improving enterprise human capital management: nurturing excellent corporate culture, changing material incentive mechanism, enhancing sprite incentive and so forth. At last, the thesis discusses the importance of human capital management consultation.
