Family enterprises have already existed in the international economy extensively as an enterprise form. Family enterprises in China have considerable universality especially. But the research on the family enterprise is scarce relatively. The paper has explained the existence of family enterprises from new angles, including proving the rationality of existence through studying the predicament of administration professionalized in Chinese family enterprises.The concept of family enterprise was defined at first. Then an academic frame analysing the existence of family enterprises was established based on human capital . " Williamson-Chandler" model and trust resource. The paper proved the necessity of " the separation of two rights " lost in Chinese enterprises because of collectivism behavior tropism against the Confucianism culture background, and proved the absence of evolvement from family enterprise system to modern enterprise system among family enterprises, which was studied by theory tools of constitution economics, modem human capital theory and the theories of the firm. Additionally, the double absences of trust resources in Chinese contemporary society make most family enterprises have to present family form.The paper afterwards pointed out the advantages of family enterprise system and the challenges family enterprises facing in the development. By describing "metamorphosis model" of family enterprise life cycle management mode, the paper put forward that the trend of the changes among family enterprise management mode is to realize the management by professional managers.Many difficulties appear in the process of administration professionalized within family enterprises in fact. In the 4th chapter the paper explained a series of problems hindering the process of administration professionalized. Deep analysis was made towards the predicament and the inducement of administration professionalized by taking trust problem between private owner and professional manager as clue. Relevant experimental analyse was carried on. Finally predicament of administration professionalized was proved through research on the " betrayal " mechanism of professional manager by a model from theory of games. It proved that family enterprises have to keep to constitution of governance based on relation.
