A Study Of Corporate Governance In State-owned Commercial Banks

Sound corporate governance is considered to be the foundation of the state-owned commercial banks' stability. And the importance of corporate governance has already received the abundant attention of every country in the world. Moreover, The effective movement of any corporate governance cannot live out the locus system and environments around it. Thus, we analyze the state-owned commercial banks' corporate governance in two angles, both the standard innovation of the state-owned commercial banks' corporate governance structure and the external environment of those.There are six parts in my thesis:In the introduction, posing the question: as the special financial enterprise, the commercial bank's corporate governance is inevitably different from that of the general industry and commerce enterprise.The second part, elaborated the development of Corporate Governance theory, including the traditional "Shareholders Governance based on Shareholder Primacy" and the modern theory "Stakeholders Co-governance". And then, put forward the concept of corporate governance in my thesis: The Corporate Governance in banking is based on the Stakeholders Theory, coordinates the benefit relationship between bank and its stakeholders by an entire set both the formality or informal system and mechanism and that of internal or exterior, which directs to achieve policy-making scientifically and manage steadily.The third part, separately discussed the common principle of Corporate Governance and the special characteristics of commercial bank. Bank's operation has two-feature: high debt ratio and externality, and the domestic employment rigidity, the staffs represent system lead to Co-governance conforms to our country reality demand.The fourth part, this article discussed the present situation as well as the existence question in state-owned commercial banks' corporate governance according to the request that the standard corporate governance, and attempted to establish the frame of it. At the same time, took the Bank of China as the example, discussed its successful experience in the corporate governance reform, which brought to it the improvement in its management.Fifth, six parts, we put forward the comprehensive framework of state-owned commercial banks' corporate governance, based on the governance experience of banking international and Chinese national condition.
