Tarim river was the longest inner-land river in China located in south of Xinjiang autonomous. Tarim river valley was lack of water resource very much and fragil on ecological environment because of remote from sea, rare of rain, drought weather and intense evaporation. With the population increases, economic and social development, unordered and poor efficiency of the water resource utilization caused the ecological environment to worsen day by day. The rational utilization and efficiency exploitation had became the key factor in rarim river valley,s sustainable development. The aim of this research: by analysising the present condition on water resouse utilization, I want to find out the problem and provide sugestion for government on the way of how to allote water-rights and the way how to construct the water-rights market.The method of this research: In this paper, the author combinate the methode of quantitative and qualitative, the demonstration and normative research. In this reseach, the author try his best to incorporate the institute of water-rights market, water price mechanism, non-price mechanism, water-right market into a intact system and make some primary exploraton in conception, viewpoint, theory, and methode.The outcome of this research: the author declear the meaning and the owner of water-rights in tarim river valley; the auther allote the water-rights between the different districts; the author privide some specific suggestion for government on how to construct the water-rights market.The innovation in this paper: at the first, the author proposed a model for allocation of water-rights between different district and provide primary theory base to allote the water-rights. At the second, the author suggest the goverment to erect "an three level water-rights market system".
